• You can provide supporting bank details;

• You acknowledge and agree that for certain product categories, additional requirements might be applicable.

Registration may be declined if sufficient information is not provided. We reserve the right to verify your identity and eligibility for our platform.

• If you create or use an account on behalf of a business entity, you represent that you have the authority to act on behalf of such entity and to bind it to these Terms of Use. Such account shall be deemed to be owned and controlled by the business entity;

• You own or have the authority to grant the rights and licenses granted to Vietsun under these Terms of Use;

• Any content you submit through the services, and any products you list, do not infringe the rights of any third party anywhere in the world, including but not limited to Intellectual Property Rights (whether registered or not).

The services provided by Vietsun Marketplace are offered on an “as is” basis without any representations, warranties, or conditions of any kind. We disclaim all warranties, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, non-infringement, compatibility, security, error-free operation, or uninterrupted service.

7. LIABILITY & INDEMNITY

• Nothing in these Terms and Conditions shall limit or exclude a party’s liability for fraud, fraudulent misrepresentation, death, personal injury caused by negligence, or any liability that cannot be excluded under applicable law.

• Subject to the above, Vietsun, its affiliates, directors, officers, agents, employees, suppliers, subcontractors, and licensors shall not be liable for any loss of profits, loss of data, business interruption, or any special, indirect, incidental, or consequential damages arising out of or in connection with the use of our services.

• To the extent permitted by law, the maximum liability of Vietsun to you shall be limited to the lower of:

  • the sale price of the item plus original shipping costs;

  • the total amount of fees paid by you to Vietsun in the six (6) months preceding the event giving rise to the liability; or 3,000,000 VND.

• You agree to indemnify and hold harmless Vietsun, its affiliates, directors, officers, agents, employees, suppliers, subcontractors, and licensors against any losses, damages, and expenses (including legal fees) arising from:

  • any claims from third parties due to your use of the services;

  • your violation of any provision of these Terms of Use;

  • your violation of any applicable laws, including but not limited to data protection or anti-spam laws;

  • the content you post or the products you list infringing any Intellectual Property Rights, or being defamatory, obscene, or otherwise violating the rights of any third party (including other users).

8. SUSPENSION, TERMINATION & CANCELLATION

8.1 Vietsun may, at its sole discretion and without prejudice to any of its rights and remedies, limit, suspend, or permanently terminate your access to the services, cancel any product orders, and/or remove any content submitted by you for any reason, including but not limited to the following:

• If we believe that you have violated, breached, abused, or unethically manipulated any term of these Terms of Use;

• If you use our Platform or services for unlawful or fraudulent purposes, or in connection with a criminal offence, or abuse our policies and rules;

• If you are suspected of inventory abuse or bulk ordering, which includes but is not limited to:

  • Products ordered are intended for resale rather than personal use;

  • Multiple orders of the same product to the same address depending on product category;

  • Ordering bulk quantities of the same product;

  • Providing invalid address details;

  • Any abuse or fraud in the ordering process;

  • Placing orders by exploiting any technical glitch or loophole.

8.2 Vietsun also reserves the right to take appropriate action if you are suspected of fraudulent behavior, including but not limited to:

• Failing to respond to payment verification emails;

• Failing to provide sufficient documentation for payment verification;

• Misusing credentials that do not belong to you;

• Using invalid addresses, emails, or phone numbers;

• Abusing voucher codes;

• Returning wrong or damaged products;

• Refusing to pay for ordered items;

• Using counterfeit currency for Cash on Delivery (COD) orders;

• Abusing or harassing delivery staff;

• Engaging in any other activities intended to cause financial or operational losses to Vietsun;

• Having a very high return or undeliverable rate, often involving missing, fake, or damaged products;

• Repeatedly requesting monetary compensation without valid reason.

8.3 If your access to the services or Platform is terminated for any reason, Vietsun may delete any related content or data (including loyalty program credits or reward points) without liability. However, transaction records may be retained for tax or regulatory compliance purposes.

8.4 For clarity, any amount paid by you for cancelled product orders will be refunded.

9. USE OF COMMUNITY SITES

9.1 The Vietsun Marketplace platform may include community areas where users can interact via message boards and user forums ("Community Sites").

9.2 You are advised not to disclose any personal information (e.g., address, phone number, or email) on the Community Sites.

9.3 Vietsun does not control or moderate the content posted on Community Sites. However, Vietsun reserves the right to remove any material, refuse posting of material, and contact you if there are concerns about the content you have added. We may monitor, review, or edit Community Site content as necessary.

9.4 Vietsun makes no representations regarding the validity, accuracy, or reliability of opinions, advice, information, or statements posted by users on Community Sites. You are solely responsible for the content of your posts, and the views expressed by users do not necessarily represent the views of Vietsun.

10. THIRD PARTY WEBSITES

As a convenience to our users, Vietsun Marketplace may provide links to third-party websites or content. Vietsun is not responsible for the content or availability of such external sites or resources, which are beyond our control.

11. RETURN AND EXCHANGE POLICY

11.1. Customers may return or exchange products within 30 days of purchase, provided that the product is in its original condition, unused, and with the original receipt.

11.2. To initiate a return or exchange, customers must present the original purchase receipt and the product must be in its original packaging, including all accessories.

11.3. Customers are responsible for return shipping costs unless the return is due to a defective or incorrect item.

11.4. If a product is returned due to a manufacturing defect, the customer will be entitled to a full refund or exchange at no additional cost.

11.5. Refunds will be processed to the original payment method. If this is not possible, a voucher or credit note may be issued.

11.6. The following items are not eligible for return or exchange: opened or used products, perishable goods, and products that are not in their original condition or packaging.
